Field verification of site conditions is the responsibility of the purchaser. River Truss Company is not a party to any contract documents between purchaser and owner. Purchaser is responsible for any conditions not shown. In plans provided to River Truss Company. Truss lumber to be minimum #2 kd syp fb= 1000 for 2x6, fb= 1100 for2x4 / me = 1,400,000 per current alsc standards. No nailers or level returns included. All beams, lvl, ledgers by others. Garage wall bearing per plans. Price subject to review prior to delivery due to the current lumber market. Sales tax amount is subject to state and county rates in effect at time of delivery. This proposal is subject to River Truss Company standard terms and conditions. Bid is based on this design criteria provided in the engineering plan.
All quotes, proposals, and purchase orders, whether verbal or written, are subject to final credit approval. This Proposal must be verified and a signed copy returned to Seller before any work can be started. If Buyer does not have an open account with Seller, a deposit of 50% of the purchase price will be required prior to any truss design work will be performed. The final 50% will be due prior to the start of any product fabrication of any product can begin.
No modification, variation, or cancellation of this Sales Proposal (the “Contract”) shall be enforceable unless signed by the Buyer and Seller in writing. Buyer’s acceptance of this Sale Proposal constitutes a contract and acknowledges the careful examination of the details herein, and Seller agrees to furnish only the items listed in writing, stated hereon. Any items not listed herein by the Seller or any changes to this purchase list will be at the Buyer’s expense. Seller will not be responsible for any items intended or implied to be included in any drawings or set of plans furnished to them that are not listed in writing. No verbal changes will be accepted and any changes must be made in writing.
Any claim or dispute arising out of or related to this Contract that cannot be resolved by agreement of the parties shall be resolved by litigation or binding arbitration at the Seller's sole option. If Seller elects arbitration, the arbitration shall be held in St Lucie County, Florida and the commercial industry rules of the American Arbitration Association shall govern. In any litigation arising out of or related to this Contract, the Buyer consents to the exclusive jurisdiction of and venue in the federal, state or local courts of St Lucie County, Florida. In any legal action or arbitration brought to enforce or interpret this Contract and the prevailing party shall be entitled to recover all costs and reasonable attorney’s fees. Buyer agrees to be bound by the dispute resolution procedures and results of that process.
Buyer’s acceptance of this Sales Proposal Contract shall supersede and take precedence over any other documents prepared by the Buyer’s purchase orders that may be issued in conjunction with this Sales Proposal quote by the Buyer. In no event shall the Seller be deemed to accept the terms and conditions of any of the Buyer’s purchase orders or any other document, even in the event where Seller has begun its preparation of the truss design drawings, unless the purchase order or any other document has been signed by an officer of the Seller.
Seller’s invoices are due Net 1st and 15th, first of which follows the date of the invoice. Buyer and Seller agree that all past due amounts shall bear interest at the maximum interest rate allowed by law within the jurisdiction where this Contract is performable. Buyer further agrees to pay all collection costs, including reasonable attorney’s fees, incurred by Seller in connection with collection of past due amounts owed to Seller under this Contract. Buyer shall not be entitled to retainage from Seller with respect to any part of the purchase price.
BACK CHARGES WILL NOT BE ACCEPTED WITHOUT PRIOR WRITTEN APPROVAL FROM SELLER.
INDEMNIFICATION: To the maximum extent permitted by law, Buyer hereby agrees to save, indemnify and hold harmless, Seller, its subsidiaries and affiliates, and their respective officers, directors, partners, shareholders, employees, successors and assigns against all claims, losses, costs, and expenses, including but not limited to, all expenses of litigation, court costs nd attorney’s fees in any way arising out of or in connection with the building design, handling, storage, installation, erection, temporary and permanent lateral restraint and diagonal bracing, building stability bracing, framing or other use of the products sold or provided by Seller from and after delivery.
All delivery dates are tentative. Seller is not responsible for any delays on projected delivery dates. Seller is not responsible for the coordination of delivery times with carpentry crews, cranes, etc.
It is the Buyer’s responsibility to provide a solid and clear entry way with firm support for tractor and trailer and a safe delivery area at the job site Any costs to the Seller incurred by inadequate site delivery conditions shall be paid by Buyer. Any damage occurring by crossing of curbs, sidewalks, driveways, utility lines, etc. in connection with the delivery of the products, shall be the sole responsibility of Buyer.
Delivery of all products shall be made in accordance with a schedule approved in writing by an authorized representative of Seller. All modifications to the delivery schedule must be approved in writing by Seller. If Seller furnishes a girder truss which is comprised of more than one member, the girder truss will be shipped as individual single truss members. The Buyer shall assume full responsibility for properly attaching the single members together in accordance with the approved Truss Design Drawings.
Buyer and its installation subcontractors shall be responsible for (1) inspecting the products for defects in quality upon delivery to the Project; (2) verifying the dimensions; (3) verifying the adequacy of work done by other trades that in any way relate to, or affect, the product’s installation, lateral restraint, diagonal installing, bracing and bracing connections; (4) connecting the products to the supporting structure; and (5) inspecting all the products for compliance with the Truss Placement Diagram, Truss Design Drawings and Plans and Specifications after installation is completed.
SELLER IS NOT RESPONSIBLE FOR DAMAGE TO TRUSSES (OR ANY OTHER PRODUCTS) AFTER DELIVERY.
All handling, erection, installing, restraining and erection bracing responsibilities, procedures and installation means and methods, both permanent and temporary, are the responsibility of the Buyer. This includes both temporary and permanent lateral restraint and diagonal bracing.
Seller will supply a Truss Submittal Package, including but not limited to each individual Truss Design Drawing, and, as applicable, the Truss Placement Diagram, the Cover/Truss Index Sheet, Lateral Restraint and Diagonal Bracing details designed in accordance with generally accepted engineering practice, applicable BCSI-defined Lateral Restraint and Diagonal Bracing details, and any other structural details germane to the trusses.
BCSI-B1 SUMMARY SHEET - GUIDE FOR HANDLING, INSTALLING AND BRACING OF METAL PLATE CONNECTED WOOD TRUSSES.
Seller will provide a Truss Placement Diagram plan and Truss Design Drawings which will depict the required permanent continuous lateral web member restraint bracing locations. The design or determination of temporary and permanent lateral restraint and diagonal bracing for the building’s structural system shall be designed by others. Buyer and the designer of the building’s Permanent Building Stability Bracing structural system shall design the size, connections, and hold downs of all permanent continuous lateral web member restraint and diagonal bracing to comply with the load path desired by the building design. All materials for temporary and permanent bracing shall be supplied by Buyer.
IF AN ORDER IS CANCELLED FOR ANY REASON AFTER BUYER HAS REQUESTED TRUSS DESIGN & SHOP DRAWINGS FROM SELLER, A DESIGN FEE OF $750 OR 15% OF PURCHASE PRICES (WHICHEVER IS GREATER) WILL BE DUE IMMEDIATELY.
I-Joist quote does NOT include web stiffeners, fillers, or ribbon material - all of which must be supplied by the buyer. Sales Proposal does NOT include nuts, bolts, washers, or any other hardware for the fastening of girder trusses or beams.
Terms and Acceptance: These terms and conditions shall apply to all projects between Seller and Buyer for the purchase and sale of products manufactured or provided by Seller regardless of the form of agreement, offer or acceptance, whether by purchase order or otherwise, which shall not vary, modify or add to these terms and conditions in the absence of a specific reference in a written agreement signed by each of the parties expressly stating their intent to modify these terms and conditions.
Seller Products and Scope of Work: Seller uses the following typical construction industry and code compliant definitions:
- Building Designer: Owner of the Building or the Person that contracts with the Owner for the design of the Framing Structural System and/or who is responsible for the preparation of the Construction Documents. When mandated by the Legal Requirements, the Building Designer shall be a Registered Design Professional. - Contractor: Owner of a Building, or the Person who Contracts with the Owner, who constructs the Building in accordance with the Construction Documents and the Truss Submittal Package. The term “Contractor” shall include those subcontractors who have a direct Contract with the Contractor to construct all or a portion of the construction. - Owner: Person having a legal or equitable interest in the property upon which a Building is to be constructed, and: (1) either prepares, or retains the Building Designer or Registered Design Professional to prepare the Construction Documents; and (2) either constructs, or retains the Contractor to construct the Building. - Registered Design Professional: Architect or engineer, who is licensed to practice their respective design profession as defined by the Legal Requirements of the Jurisdiction in which the Building is to be constructed. - Truss Design Engineer: Person who is licensed to practice engineering as defined by the Legal Requirements of the Jurisdiction in which the Building is to be constructed and who supervises the preparation of the Truss Design Drawings. - Truss Designer: Person responsible for the preparation of the Truss Design Drawings. - Truss Manufacturer: Person engaged in the fabrication of Trusses. - Truss Submittal Package: Package consisting of each individual Truss Design Drawing, and, as applicable, the Truss Placement Diagram, the Cover/Truss Index Sheet, Lateral Restraint and Diagonal Bracing details designed in accordance with generally accepted engineering practice, applicable BCSI-defined Lateral Restraint and Diagonal Bracing details, and any other structural details germane to the Trusses.
Seller shall be permitted to rely on the accuracy and completeness of project contract and construction documents, including any specifications that have been furnished to Seller in writing by the Building Designer for the building. Seller’s design work for each Project shall be limited to the design of products manufactured by Seller. Seller will not be responsible for the design of the building’s roof, floor or wall structural systems and shall not perform any other engineering or design services relating to the Project.
General Responsibilities and Scope of Work Related to Seller’s Products: The International Residential Code (IRC), The International Building Code (IBC), the local building code and ANSI/TPI 1, Chapter 2 define roles and responsibilities with respect to the application of SBCs ("Structural Building Components") in the construction of a Building. The design assumptions, loading conditions, suitability and use of Seller SBCs for any particular building is the responsibility of the Owner, the Owner's authorized agent or the Building Designer, in the context of the IRC, the IBC, the local building code and ANSI/TPI-1. For general guidance regarding design responsibilities, fabrication, quality control, storage, delivery, erection, lateral restraint and diagonal bracing, consult the latest edition of the IRC, the IBC, ANSI/TPI 1, the BCSI summary sheets, and/or BCSI (Building Component Safety Information) (available from SBCA at www.sbcindustry.com) and all related installation information supplied in the jobsite package.
Buyer Responsibilities: The Owner, the Owner's authorized agent, the RDP ("Registered Design Professional") and/or the Contractor (also known as the Building Designer) for the building shall review the SBC submittal package for compatibility with the building design, the proper loading conditions and all load paths. Submittals shall include a notation indicating that they have been reviewed and found to be in general conformance with the design of the building (or to make specific corrections noted and to return for review and found to conform). In the absence of this notation, Seller will provide its Buyer with the design loads and related engineering assumptions that have been used to design the SBCs. The construction documents (i.e. plans and specifications) shall provide information that is sufficiently accurate and reliable to be able to design the SBCs particularly related to unique loading and serviceability (i.e. deflection, moisture, etc.) conditions. The SBCs shall be examined upon delivery to the job site and also after they are erected and installed for (a) dislodged or missing connectors, (b) cracked, dislodged or broken members, or (c) any other damage that may impair the structural integrity of the SBC. Any unreported damage to any structural component during any part of the handling and installation process shall void the Seller’s product warranty.
Buyer Claims: In the event Buyer asserts any other claim relating to the products provided by Seller, including a claim of delay in delivery of the products, Buyer shall provide Seller seven (7) days advanced written notice and a reasonable opportunity to inspect and/or to cure such claim. The Buyer shall otherwise have no right to deduct the amount of any costs, expenses or any other amount related to such claim from Seller’s invoice without the prior written approval of Seller. The Buyer’s right to terminate any job or purchase order, whether pursuant to a default by Seller or otherwise, shall be exercisable by Buyer, in writing, only after seven (7) days written notice to Seller or the expiration of any applicable cure period. In the event of such termination by Buyer for any reason which is not the fault of Seller, Seller shall be entitled to recover from the Buyer payment for products delivered and for any products manufactured by Seller prior to Seller's actual receipt of written termination.
Force Majeure: Seller will not be required to perform any obligation under this Contract or be liable for damages due to delay, provided the performance or non performance of the obligation is caused or prevented by an Act of God, including storms, earthquakes, floods, fire, government order or law, wars, insurrections, pandemic, epidemic or any cause beyond Seller’s control, other than one resulting from Seller’s default or breach of contract (“Force Majeure”). As a result, Seller shall be entitled to an extension of time to perform its obligations and additional compensation based on costs incurred and/or increased costs of materials resulting from, or caused by, the Force Majeure. Seller shall provide Buyer prompt notice of the Force Majeure in writing.
General Safety Notes: Failure to follow could cause property damage or personal injury. Please thoroughly review the "River Truss Company BUYER ACKNOWLEDGEMENT” form. Please thoroughly review all TDD ("Truss Design Drawing") cover sheet notes and TDD notes, verify design parameters and review all connection detail notes. Note important work scope and responsibilities are defined therein. All capitalized terms are as defined in ANSI/TPI 1 ("The National Design Standard for Metal Plate Connected Wood Truss Construction"). TPI 1 defines the responsibilities and duties of the Truss Designer, TDE ("Truss Design Engineer") and Truss Manufacturer, unless otherwise defined by a contract agreed upon in writing by the parties involved. As a TDE (i.e., Specialty Engineer), the seal on any TDD represents an acceptance of the professional engineering responsibility for the design of the single Truss depicted on the TDD only, under TPI 1. A TDD is also a “Structural Delegated Engineering Document”. River Truss Company and its affiliate, WHE ("Whole House Engineering LLC") are NOT the Building Designer or Truss System Engineer for any building. The design assumptions, loading conditions, load paths, suitability and use of Trusses for any Building is the responsibility of the Owner, the Owner's authorized agent or the BD ("Building Designer"), in the context of the IRC ("International Residential Code"), the IBC ("International Building Code"), the local building code and TPI 1. The approval of the TDD and any field use of the truss, including handling, storage, installation and bracing, shall be the responsibility of the BD and GC ("General Contractor"). All notes set forth in the TDD and the practices and guidelines of Building Component Safety Information published by the Truss Plate Institute and the Structural Building Component Association are referenced for general guidance. Structural submittals, including shop drawings, shall be reviewed by the BD for compatibility with the design of the building or structure, including submittal documents prepared by others, deferred submittal documents and phased submittal documents. This review shall include a notation indicating that the reviewed documents have been found to be in general conformance with the design of the building (or to make specific corrections noted and to return for review). In the absence of this notation, Seller will provide Buyer with the design assumptions used per the construction documents (also referred to at times as “Structural Engineering Documents”), to design the individual structural building components (i.e., trusses) per TPI 1. Seller and WHE shall be permitted to rely on the accuracy and completeness of project contract and construction documents, including any specifications that have been furnished to Seller in writing by the BD for the building. The BD shall provide information that is sufficiently accurate and reliable to be able to design the trusses in the context of the following serviceability issues including, but not limited to (a) allowable vertical, horizontal or other required deflection criteria; (b) any dead load, live load and in-service creep deflection criteria for floors or flat roofs subject to ponding loads; (c) any floor or roof camber requirements; (d) any differential deflection criteria from truss-to-truss or truss-to-adjacent structural member; (e) any deflection and vibration criteria for floor trusses including any strongback bridging requirements, and any dead load, live load, and in-service creep deflection criteria for floor trusses supporting stone or ceramic tile finishes; (f) moisture, temperature, corrosive chemicals and gases expected to result in a wood moisture content exceeding 19 percent, sustained temperatures exceeding 150 degrees F, and/or corrosion potential from wood preservatives or other sources that may be detrimental to trusses. Due to the lateral thrust developed by scissors-type trusses, if scissors-type trusses are part of this design, consideration should be given to bearing wall conditions. Bearing walls supporting scissors-type trusses should be designed in such a manner that the walls will safely withstand the lateral forces of the trusses. Consideration of effects on the design of the bearing and the associated wall or beam/header assembly is not a part of this set of TDDs and is not the responsibility of Seller or WHE. Advice from the BD or any RDP should be secured relative to these items if they are not provided in the construction documents. Unless specifically noted in writing otherwise, neither Seller nor WHE have performed any of the following engineering services as it relates to the building that is going to be built (a) the trusses and any related structural elements are not designed to support any masonry loading conditions, which require special engineering; (b) areas of the construction documents that do not use truss framing need to be designed by others; (c) all beam, header and related structural element designs are to be performed by others. If any of the previously listed services are required by the Owner, the Owner's authorized agent or the BD, please call 772-409-1003 for assistance. The structural building component submittal including the TDDs sealed by a TDE where required by the legal requirements or the local jurisdiction, a TPD ("Truss Placement Diagram") if required by the construction documents, and the required permanent individual truss member restraint per the TDDs, the appropriate BCSI B-series summary sheets to facilitate proper truss and structural component LR ("lateral restraint") and DB ("diagonal bracing"), any SBC installation information and any related truss and SBC details shall be supplied to the GC/Truss Installer. The GC, after reviewing and/or approving the SBC submittal package, shall forward it to the BD for review. Where required by the project contract or construction documents, including any specifications, a TPD identifying the location of each truss, as assumed by Seller, based on its review of the project contract documents, will be provided. When the TPD (i.e., structural submittals or shop drawings) serves only as a guide for truss installation, it does not require the seal of any RDP. Review the complete contents of the SBC submittal package, the TDDs included (i.e., front, back, text and graphics), any TPDs and any related SBC information before attempting to install the trusses. Reviewing graphics alone is not sufficient. Truss manufacturing quality control shall be performed per TPI 1, Chapter 3, and monitored by a third party inspection agency. Unless specified by the BD in writing and noted on the TDD, these TDDs are not applicable for use with fire-retardant, preservative-treated or green lumber. Plate type, size, orientation and location dimensions indicated are minimum plating requirements. Lumber used shall be of the species, size and grade, and in all respects, equal to or better than that specified. Temporary LR and DB is required to be installed during construction for the purposes of holding trusses in their proper location, plumb and in plane, until permanent individual truss member LR, DB and permanent building stability bracing are completely installed (see BCSI-B1, BCSI-B2, BCSI-B3, BCSI-B7, and BCSI-B10 as applicable). Top chords must be sheathed or continuous LRs (i.e., purlins) provided at the spacing indicated on TDD (e.g., 24 in. o.c. maximum). If no ceiling is installed or bottom chord LR is specified in writing by the BD, bottom chords require continuous LR at 10 ft. o.c. spacing, or less, along with DB as specified in BCSI-B1, BCSI-B3, BCSI-B7 or BCSI-B10 as applicable. Graphical representation of LR members (i.e., purlins), if shown on the TDD, do not depict the size or orientation of the restraint along the top and/or bottom chord and/or web members. The size, connections and anchorage of the permanent continuous truss chord and web member LR and DB must be designed by others in such a way as to support the imposed load along the clear span of the LR and DB, or as specified in BCSI-B1, BCSI-B3, BCSI-B7 or BCSI-B10 as applicable. Additional permanent building stability bracing for the assembled truss structure (e.g., diagonal, X-bracing, etc.) may be required and is to be specified by the BD. DB in accordance with BCSI B3 may be sufficient. The SBCs shall be examined upon delivery to the job site and also after they are erected and installed for (a) dislodged or missing connectors; (b) cracked, dislodged or broken members; or (c) any other damage that may impair the structural integrity of the SBC. Any unreported damage to any SBC during any part of the handling and installation process shall void the Seller's product warranty. During truss installation, never exceed the design loading shown on the TDD and never stack materials on trusses with inadequate LR and DB (see BCSI-B4). Never overload any structural elements with stacks of building materials to a level greater than defined in BCSI-B4. Connections not shown on the TDDs are the responsibility of others. Do not cut or alter a truss member, a truss plate or any related structural element member without prior approval of an RDP or TDE. Install and load trusses vertically unless otherwise indicated in writing by the BD or as specifically defined on the TDD or TPD. Sheathing applied in the plane of the truss is not considered in the design of the individual truss components (e.g., a gable-end truss has no composite stiffness analysis performed) unless specifically noted. Attachment of the purlin gable (i.e., hip frames or lay-in gables) to the supporting hip trusses satisfies the LR and DB requirements for the top chord of the hip trusses. Refer to the TDD for the individual trusses braced in this manner. The trusses are designed by Seller using Alpine standard engineering analysis methods and associated software in accordance with TPI 1 and related proprietary information. Each Truss Design Drawing uses MCP ("Metal Connector Plate") design values published by MCP manufacturers. Any referenced connectors use design values published by the connector manufacturer or the American Wood Council per the National Design Specification for Wood Construction. The TDD further uses lumber design values published by the applicable lumber rules-writing agency as approved by the American Lumber Standards Committee. These are incorporated into lumber design provisions and equations created by the American Wood Council and input into modeling and analysis TDD software created and owned by the MCP manufacturers. The lumber design values correspond with the grade stamp Identified by the Truss Manufacturer on the lumber prior to cross cutting. The lumber grading rules published by the rules-writing agency shall apply to the Owner, BD and GC.
River Truss Company is the Delegate Truss Design Engineer and not the Truss System Engineer. Please Refer to the Engineer of Record For all Truss System Analysis. Prices on this Sales Proposal do not include any Textura Fees. If payment is processed through Textura, fees will be added to the total shown on this Sales Proposal.
Bid Notes Specific to this Sales Proposal: *Trusses are bid with standard untreated lumber as defined below and G60 plates. *All 2x blocking between trusses is by others. *There are no LVL's, headers, beams or rimboard included in this price. *No structural framing plan provided. If flat roofs exist the truss top chord will be flat. Pitch to allow for drainage of water is by others unless noted otherwise on this quote.
